Terms of sale

These general terms govern the wholesale (B2B) sales operations of Intenso Vallanca S.L.U.. Our activity is aimed exclusively at companies and trade professionals; we do not sell to end consumers, so Spanish consumer-protection legislation (Royal Legislative Decree 1/2007) does not apply.
1. Professional customer
To operate, you must evidence your status as a company or self-employed professional and provide the corresponding tax details (including VAT/EORI for intra-EU or export operations). The brands we work with are selective, professional or exclusive distribution brands: prices and terms are only provided once our team has reviewed and approved the applicant's commercial profile, and additional documentation on your activity and sales channel may be required.
2. Orders and pricing
Prices and terms are communicated per channel through a commercial offer, valid only until the date stated in each offer. Unless otherwise indicated, prices exclude VAT and any other applicable indirect taxes. Minimum order quantities (MOQ) and volume discounts may apply. Orders become binding upon written confirmation by both parties and remain subject to actual stock availability.
3. Delivery
Deliveries are made on B2B terms, EXW or DAP (Incoterms® 2020) as specified in the offer, from our logistics hubs in Spain or the Netherlands or directly from the brand. Risk passes in accordance with the agreed Incoterm. Delivery times are estimates and are not of the essence unless expressly agreed otherwise.
4. Payment
Bank transfer and other means agreed in the offer. Goods may be reserved until payment is confirmed and remain the property of Intenso Vallanca S.L.U. under retention of title until paid in full. Late payments accrue, without prior notice, the default interest and recovery-cost compensation provided for in Spanish Law 3/2004 of 29 December on combating late payment in commercial transactions.
5. Inspection of goods and returns
The customer must inspect the goods upon receipt. Returns are only accepted where the product received does not match the one ordered, the EAN does not match the one confirmed in the order, or the product is damaged for reasons unrelated to transport. Issues must be notified in writing within the periods set by Articles 336 (four days, apparent defects) and 342 (thirty days, hidden defects) of the Spanish Commercial Code, and any return requires prior written authorisation from Intenso Vallanca S.L.U..
6. Product, traceability and selective distribution
The products distributed are original and comply with the regulations applicable to their marketing in the European Union, in particular Regulation (EC) No 1223/2009 on cosmetic products. Intenso Vallanca S.L.U. guarantees the lawful origin and documentary traceability of the goods. The customer undertakes to preserve that traceability, to market the products in compliance with the regulations of their destination market and the conditions of selective distribution networks, and not to alter product labelling or identification codes.
7. Governing law and jurisdiction
These terms and all transactions under them are governed by Spanish law (in particular the Spanish Commercial Code and Civil Code) and by applicable European Union legislation. The United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) is expressly excluded. Any dispute shall be submitted to the Courts of Palma de Mallorca, the parties expressly waiving any other forum to which they may be entitled.
